Agreement to Terms

These Terms and Conditions ("Terms") govern your use of the Nomendex application and website (the "Service") operated by Caret AI, Inc dba Firstloop ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Service.

Description of Service

Nomendex is a local-first, markdown-driven workspace for working with AI agents. The Service allows users to manage notes, tasks, and projects while interacting with AI agents through a desktop application. Nomendex stores your workspace content locally on your device and supports optional git-based synchronization.

Pricing and Subscription

Nomendex is free to download and use. The free tier provides access to the core workspace features including notes, tasks, agent chat, and git synchronization.

An optional paid subscription ("Pro") is available to access additional features, including:

• SMS/Texting: Interact with your Nomendex workspace via text message from your phone.
• Remote Agents: Run AI agents remotely to perform tasks on your workspace even when the desktop application is not open.

Subscription pricing, billing cycles, and cancellation terms are displayed at the time of purchase. You may cancel your Pro subscription at any time; cancellation takes effect at the end of the current billing period.

User Accounts

You may be required to create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

SMS/Texting Terms

The Nomendex texting program allows Pro subscribers to interact with their workspace via SMS. By opting in to the texting feature, you agree to the following:

• Program Name: Nomendex SMS
• Description: Send and receive text messages to interact with your Nomendex workspace, including querying notes, creating tasks, and communicating with AI agents.
• Message Frequency: Message frequency varies based on your usage. You control the conversation — messages are sent in response to your texts.
• Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan.

Carriers are not liable for any delayed or undelivered messages.

Your phone number and texting data will not be shared with third parties or affiliates for marketing or promotional purposes. For more details, see our Privacy Policy.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Transmit any harmful, threatening, abusive, or otherwise objectionable content
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send spam or unsolicited messages

Intellectual Property

The Service and its original content (excluding user-generated content) are and will remain the exclusive property of Caret AI, Inc dba Firstloop. Your workspace content, notes, and files remain your property at all times. The Service is licensed, not sold, to you.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by applicable law, Caret AI, Inc dba Firstloop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or other intangible losses, resulting from your use of the Service.

Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of the Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
